Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Axophon service ("Service"), operated by Agence 10-4 ("we", "us", "our"), a company incorporated under the laws of Quebec, Canada.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Service" means the Axophon AI-powered phone receptionist platform, including all related software, APIs, and documentation.
  • "Subscriber" means the individual or organization that creates an account and subscribes to the Service.
  • "Caller" means any person who places a phone call that is handled by the Service.
  • "Content" means any data, text, audio recordings, transcripts, or other materials uploaded to or generated by the Service.

2. Eligibility

The Service is intended for use by businesses and professionals. By subscribing, you represent that:

  • You are at least 18 years of age
  • You have the authority to bind your organization to these Terms
  • Your use of the Service complies with all applicable laws

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

4. Description of Service

Axophon provides an AI-powered phone receptionist that:

  • Answers incoming calls on behalf of your business
  • Routes calls to appropriate team members
  • Responds to caller inquiries using your knowledge base
  • Generates call transcripts and summaries
  • Provides call analytics and reporting

The Service uses artificial intelligence and may not always produce perfect results. You acknowledge that AI-generated responses may occasionally contain inaccuracies.

5. Subscriber Obligations

As a Subscriber, you agree to:

  • Inform callers that they are interacting with an AI system and that calls may be recorded, in compliance with applicable telecommunications and privacy laws
  • Provide accurate information in your knowledge base
  • Not use the Service for any unlawful purpose, including harassment, fraud, or deception
  • Not attempt to reverse-engineer, disassemble, or circumvent any security measures of the Service
  • Comply with all applicable federal, provincial, and municipal laws, including Quebec's Consumer Protection Act and privacy legislation

6. Subscription and Billing

6.1 Plans and Pricing

Subscription plans, pricing, and included features are described on our website. Prices are in Canadian dollars unless otherwise stated.

6.2 Payment

Subscriptions are billed monthly in advance. Payment is processed through our third-party payment provider. You authorize us to charge your payment method on a recurring basis.

6.3 Taxes

All prices are exclusive of applicable taxes (GST/QST). Taxes will be added to your invoice as required by law.

6.4 Price Changes

We may modify our pricing with 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. Cancellation and Refunds

7.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

7.2 Refunds

In accordance with the Consumer Protection Act of Quebec, you may cancel within 30 days of your initial subscription and receive a full refund. After this period, no refunds are issued for partial billing periods.

7.3 Effect of Cancellation

Upon cancellation:

  • Your access to the Service will continue until the end of the paid period
  • Call handling will cease at the end of the paid period
  • Your data will be retained for 30 days, after which it will be deleted unless you request an export

8. Intellectual Property

8.1 Our Property

The Service, including all software, algorithms, designs, and documentation, is the property of Agence 10-4 and is protected by copyright and intellectual property laws.

8.2 Your Content

You retain ownership of all Content you upload to the Service. By uploading Content, you grant us a limited, non-exclusive license to use it solely for the purpose of providing the Service.

8.3 AI-Generated Content

Transcripts, summaries, and other outputs generated by the AI are provided for your use. You may use these outputs for your business purposes.

9. Call Recording

By using the Service, you acknowledge and agree that:

  • Calls handled by the Service are recorded for transcription and quality purposes
  • You are responsible for complying with all applicable laws regarding call recording and consent in your jurisdiction
  • In Quebec and Canada, at minimum one-party consent is required for call recording

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We are not liable for:

  • Planned maintenance (with reasonable advance notice)
  • Outages caused by factors outside our control (internet disruptions, telecommunications failures, force majeure)
  • Temporary service degradation

11. Limitation of Liability

To the maximum extent permitted by the Civil Code of Québec and applicable law:

  • Our total liability for any claims arising from or related to the Service shall not exceed the fees paid by you in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for damages resulting from inaccurate AI-generated responses, missed calls due to technical issues, or actions taken by callers based on information provided by the Service

Nothing in these Terms excludes or limits liability that cannot be excluded under Quebec law.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the Service in violation of these Terms
  • Your failure to comply with applicable laws, including call recording and privacy obligations
  • Content you upload to the Service that infringes third-party rights

13. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

14. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated by email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the applicable federal laws of Canada. Any dispute arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of the Province of Quebec, district of Montreal.

16. Language

In accordance with Quebec's Charter of the French Language, these Terms are available in French. In the event of a discrepancy between the French and English versions, the French version shall prevail.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
